1. Agreement Overview
These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Solutions Intelligentes SmartGrants Sougou Inc. ("SmartGrants", "we", "us") governing your use of SmartGrants Voice Agent and any related websites, APIs and services (the "Platform"). By accessing or using the Platform you confirm you have read and agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that entity.
2. Description of Services
SmartGrants Voice Agent is a multi-tenant SaaS platform that provisions each customer a dedicated phone number (US/Canada) from SmartGrants' Twilio account, answers inbound calls 24/7 using an ElevenLabs voice of your choosing, follows your configured script and qualifying questions using Anthropic Claude, checks your connected Calendly availability and books meetings on your behalf, and sends an SMS confirmation or booking link to the caller. We may introduce, modify or discontinue features at any time, with reasonable notice for material changes.
3. Account Registration & Security
You must register with accurate, current information and keep your login credentials confidential. You are responsible for all activity under your account. Notify us immediately at admin@smartgrants.io if you suspect any unauthorised access. We may suspend accounts that show signs of compromise or that violate these Terms.
4. Call Recording, Transcription & Consent
The Platform records and transcribes inbound calls in order to operate the AI receptionist, generate transcripts, and improve call outcomes. You are solely responsible for complying with all applicable call-recording and consent laws in the jurisdictions where you operate and where your callers are located, including without limitation two-party/all-party consent statutes, Canada's Telecommunications Act and CRTC rules, and the U.S. Telephone Consumer Protection Act (TCPA). You must ensure your greeting, script, and any required disclosures inform callers that the call may be recorded and handled by an automated system, and obtain any consent required by law before the AI engages in the call. SmartGrants provides configuration tools to help you add such disclosures but does not provide legal advice and is not responsible for your compliance.
5. Acceptable Use
You agree NOT to:
- Use the Platform's outbound SMS or calling capabilities to send robocalls, unsolicited bulk SMS, or messages that violate CASL, TCPA, CRTC rules, or any applicable anti-spam or telemarketing law.
- Use the Platform, or hold it out, as a means of handling emergency calls (e.g. 911/E911) or any emergency services; the Platform is not designed or certified for emergency use.
- Use the Platform for harassment, fraud, phishing, impersonation, or any unlawful purpose.
- Record or process calls without providing legally required disclosures or obtaining legally required consent from callers.
- Attempt to gain unauthorised access to the Platform, other tenants, or connected systems.
- Reverse-engineer, decompile or extract source code, or resell access without our written consent.
- Interfere with performance, stability or availability of the service for other tenants.
- Exceed plan volume limits, abuse API rate limits, or circumvent technical controls.
You are solely responsible for the lawfulness of your use of the phone number, call scripts, and SMS messages sent through the Platform. SmartGrants is not the sender of record for the business conducting the calls.
6. AI Accuracy Disclaimer
The Platform uses artificial intelligence (Anthropic Claude) to converse with callers, qualify leads, and determine meeting availability. AI-generated responses may occasionally be inaccurate, incomplete, or fail to correctly capture caller intent. You are responsible for reviewing call transcripts and bookings and for confirming any information relied upon for business-critical decisions. SmartGrants makes no warranty that the AI receptionist will be error-free or will correctly handle every call scenario.
7. Subscriptions & Payment
Access is offered through a single "Business" plan: a one-time setup fee of $995 plus $500 per month, billed in advance. There is no free trial. The $995 setup fee is charged on day 1 together with the first monthly payment and covers provisioning your dedicated phone number, AI voice and prompt configuration, Calendly connection, and end-to-end testing. The setup fee is non-refundable. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and monthly fees already paid are not refunded for the remainder of that period. We may adjust pricing with at least 30 days' notice.
8. Customer Data & Ownership
You retain full ownership of all data generated through your use of the Platform, including call transcripts, booking records, and caller information ("Customer Data"). You grant SmartGrants a limited, non-exclusive licence to process Customer Data solely to operate and improve the Platform. We will not sell your data, train third-party AI models on it, or use it for advertising. On termination, you may export Customer Data for up to 30 days, after which we may delete it.
9. Third-Party Services
The Platform integrates Twilio (telephony and SMS), ElevenLabs (voice synthesis), Anthropic Claude (AI conversation), Calendly (scheduling, connected via a personal access token you provide), Lovable Cloud (hosting and database), Resend (email) and Stripe (payments). Use of these services is also subject to their own terms. You authorise SmartGrants to act as your agent in interacting with these services using credentials and tokens you have provided.
10. Intellectual Property
All rights, title and interest in the Platform — software, design, documentation, branding and proprietary call-handling configuration — remain with SmartGrants. These Terms do not transfer any IP rights beyond the limited licence to use the service during your active subscription.
11. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party. This does not apply to information already public, independently developed, or required to be disclosed by law.
12. Service Availability & Support
We target high uptime for call handling, voice synthesis, calendar booking and SMS delivery, but do not guarantee uninterrupted access. Maintenance windows will be communicated in advance. Support is provided via email.
13. Limitation of Liability
To the maximum extent permitted by law, SmartGrants is not liable for indirect, incidental, special, consequential or punitive damages — including loss of revenue, data, missed calls, missed bookings or business opportunity — arising from your use of or inability to use the Platform. Our total aggregate liability shall not exceed the fees you have paid in the twelve months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless SmartGrants, its officers, employees and agents from any claims, damages or expenses arising out of your breach of these Terms, your misuse of the Platform, your failure to obtain required caller consent or disclosures, your violation of telemarketing, anti-spam or privacy law, or your violation of third-party rights.
15. Termination
Either party may terminate by 30 days' written notice, or you may cancel at any time, effective at the end of your current billing period as described in §7. We may suspend or terminate immediately if you breach these Terms or engage in activity that threatens the Platform's security, integrity or telephony reputation. Upon termination your access ceases and outstanding fees become immediately due; the setup fee is non-refundable.
16. Modifications
We may update these Terms from time to time. Material changes will be communicated by email or in-platform notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
17. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the competent courts of Ottawa, Ontario, Canada.
